INTRODUCTION

These Terms and Conditions (“Agreement”) govern your access to and use of the gigit platform (“Platform”), operated by GIGIT Company Limited, a company incorporated under the laws of the Kingdom of Thailand (“gigit”, “we”, “us”, or “our”).

Please read this Agreement carefully before registering or using the Platform. By registering an account, posting a Task, submitting an Offer, or using any part of the Platform in any way, you confirm that you have read, understood, and agree to be legally bound by this Agreement, our Privacy Policy, and any other policies published on the Website from time to time (together, the “Policies”).

If you do not agree to this Agreement, you must not use the Platform.

IMPORTANT: gigit is a technology platform only. gigit is not a party to the Task Contracts formed between Employers and gigit heroes, and is not an employer of gigit heroes. The services performed under those Task Contracts are delivered by gigit heroes as independent providers. All Task Contracts are formed directly between Employers and gigit heroes.

PART 1 — GENERAL TERMS (APPLICABLE TO ALL USERS)

1. DEFINITIONS

In this Agreement, capitalised terms have the meanings set out below.

EmployerA User who posts Tasks or books gigit heroes through the Platform to obtain services.
gigitGIGIT Company Limited, a company incorporated in Thailand.
gigit heroA User who registers as a service provider on the Platform and submits Offers to perform Tasks.
Model Task ContractThe standard terms governing each Task Contract, set out in Appendix A.
Net EarningsThe Task Price minus all applicable Platform Fees, as displayed to a gigit hero prior to confirming an Offer.
OfferA binding quotation submitted by a gigit hero in response to a Task posting, specifying the price of services to be performed.
Payment Service ProviderThe licensed payment service provider engaged by gigit from time to time to operate the Safe Payment System.
PDPAThe Personal Data Protection Act B.E. 2562 (2019) of Thailand, as amended from time to time.
PlatformThe gigit mobile application and all related in-app services operated by GIGIT Company Limited.
Platform FeesFees charged by gigit for use of the Platform, as displayed on the Platform from time to time.
Privacy Policygigit’s privacy policy, available at https://gigit.asia/en/privacy-policy, which forms part of this Agreement.
Prohibited ServicesServices listed in Clause 8 of this Agreement that may not be posted, offered, or performed through the Platform.
Refund and Cancellation Policygigit’s policy governing refunds and cancellations, published on the Website and incorporated into this Agreement.
Reliability RatingA performance metric assigned to gigit heroes based on task completion rate, cancellation history, and Employer feedback.
Reserved PaymentFunds held by the Payment Service Provider on behalf of an Employer following a confirmed Booking, pending release to the gigit hero upon task completion.
Safe Payment SystemThe payment escrow facility operated by the Payment Service Provider through which all Platform payments must be processed.
Start TimeThe time agreed by the Employer for the performance of a Task and confirmed by the gigit hero through the Platform.
TaskA request for services posted by an Employer on the Platform.
Task ContractThe legally binding agreement formed between an Employer and a gigit hero upon confirmation of a Booking, governed by the Model Task Contract at Appendix A.
Task PriceThe total amount payable from the Employer to the gigit hero for the performance of a Task, comprising the price specified in the Offer plus any agreed variations processed through the Platform under Clauses 15.3 and 19.4.
UserAny individual or entity registered on the Platform, whether as an Employer, a gigit hero, or both.
WebsiteThe gigit website at gigit.asia and any successor URL operated by GIGIT Company Limited, including all policies and documents published there.

1A. RULES OF INTERPRETATION

1A.1 In this Agreement, unless the context otherwise requires: (a) words in the singular include the plural and vice versa; (b) references to a person include any natural person, company, partnership, trust, or other legal entity; (c) references to a statute or statutory provision include any amendment, re-enactment, or replacement thereof in force from time to time; (d) the headings in this Agreement are for convenience only and do not affect its interpretation; (e) the words ‘including’, ‘includes’, and ‘such as’ are to be read as if followed by the words ‘without limitation’; (f) where this Agreement is made available in both Thai and English, the English language version shall prevail in the event of any inconsistency or dispute as to interpretation; and (g) any ambiguity in this Agreement shall not be construed against gigit solely on the basis that gigit drafted it — the parties expressly agree that the contra proferentem rule of interpretation shall not apply to this Agreement.

2. PLATFORM ROLE & NATURE

2.1 gigit operates a technology platform that connects Employers seeking services with independent gigit heroes who provide those services.

2.2 gigit provides marketplace, matching, payment facilitation, dispute support, and related services in consideration for applicable Platform Fees.

2.3 gigit is NOT the service provider. gigit does not participate in the performance of the services. gigit is not a party to any Task Contract.

2.4 gigit is NOT an employer of gigit heroes. Nothing in this Agreement creates any employment, agency, partnership, joint venture, or similar relationship between gigit and any gigit hero.

2.5 Any agreement for services is formed directly and exclusively between the Employer and the gigit hero. gigit’s role is limited to providing the Platform infrastructure and ancillary services.

2.6 BY USING THE PLATFORM, YOU UNDERSTAND AND AGREE THAT:

(a) gigit offers identity verification tools and verification badges to help Users assess each other. These tools verify identity at a point in time and are not a guarantee of background, competence, or legal standing. For Tasks requiring specific licences or credentials under Thai law, please confirm these directly;

(b) Reviewing profiles, ratings, and reviews helps you choose the right gigit hero. gigit provides Reliability Ratings, reviews, and identity verification to support this. Where relevant, you may also confirm qualifications, licences, or insurance directly;

(c) The choice of which gigit hero to engage rests with the User;

(d) Engaging a gigit hero involves similar considerations to engaging any service provider. gigit, as a platform operator, facilitates the engagement but does not guarantee outcomes — quality, safety, and legality of services performed are matters between the contracting parties to each Task Contract; and

(e) To the maximum extent permitted by applicable Thai law, Users agree to indemnify GIGIT Company Limited, its directors, officers, employees, and agents against claims, losses, or expenses arising from: (i) the User’s own breach of this Agreement; (ii) the User’s own breach of applicable law; or (iii) third-party claims caused by the User’s conduct on the Platform. This indemnity does not apply to claims arising from gigit’s own fraud, wilful misconduct, gross negligence, or breach of any non-excludable rights of consumers under Thai law.

SAFETY NOTICE: Your safety matters to us. For Tasks involving access to your home, children, elderly persons, or high-value property, take time to review the gigit hero’s verification badges, ratings, and reviews — and confirm any required licences or qualifications. Verification badges confirm identity; ratings and reviews reflect prior User experiences.

3. ELIGIBILITY & REGISTRATION

3.1 General Eligibility

3.1.1 To register as a User, you must: (a) be at least 18 years of age; (b) have the full legal capacity to enter into binding contracts under applicable law; (c) not be subject to any prohibition from using the Platform under applicable law; and (d) provide accurate, complete, and up-to-date registration information.

3.1.2 Employers may be natural persons or legal entities. Where an Employer registers as a legal entity, the individual completing registration represents and warrants that they have full authority to bind that entity.

3.1.3 gigit heroes must be Thai nationals. A gigit hero may register as an individual or, where the Platform supports it, as a Thai-registered legal entity (with the registering individual being a Thai national authorised to bind that entity). Where a gigit hero uses assistants or team members, the registered gigit hero remains personally responsible for the work performed and the conduct of those assistants.

3.1.4 By registering, you represent and warrant that all information you provide is accurate, complete, current, and not misleading. You must promptly update your information if it changes.

3.1.5 You may only maintain one account on the Platform. Creating multiple accounts, buying, selling, or transferring accounts is strictly prohibited.

3.2 Account Security

3.2.1 You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2.2 You must immediately notify gigit of any unauthorised use of your account or any breach of security.

3.2.3 gigit will not be liable for any loss or damage arising from your failure to comply with this Clause 3.2.

4. ELECTRONIC TRANSACTIONS & ACCEPTANCE

4.1 This Agreement is concluded electronically and is legally binding in accordance with the Electronic Transactions Act B.E. 2544 (2001) of Thailand (as amended). By clicking ‘I Accept’, completing registration, or using the Platform, you consent to transact electronically and acknowledge the legal validity of this Agreement.

4.2 You acknowledge that electronic communications, confirmations, and records generated through the Platform constitute valid and binding documentation for all purposes, including legal proceedings.

5. GENERAL USER OBLIGATIONS

All Users, whether Employers or gigit heroes, agree at all times to:

  • Comply with this Agreement, all Policies, and all applicable laws and regulations of Thailand;
  • Post only accurate, complete, and non-misleading information on the Platform;
  • Use the Platform only for lawful purposes that do not violate applicable law or public morality;
  • Maintain sole control of their account and not permit others to use it;
  • Treat all other Users with respect and professionalism, and act in accordance with the Community Guidelines published on the Website;
  • Not post, transmit, or facilitate any content that is false, defamatory, obscene, threatening, harassing, or that infringes any third-party rights;
  • Not introduce malicious code, viruses, or disruptive technology to the Platform;
  • Not use the Platform to engage in or facilitate any illegal activity;
  • Not attempt to gain unauthorised access to any part of the Platform or another User’s account;
  • Cooperate fully with any investigation by gigit related to Platform use or compliance;
  • Not discriminate against any other User on grounds of nationality, ethnicity, gender, religion, age, disability, sexual orientation, or any other characteristic protected by applicable Thai law or that would be considered discriminatory under internationally recognised standards.

Computer Crime Act: Use of the Platform in a manner that violates the Computer Crime Act B.E. 2550 (2007) of Thailand, including unauthorised access, data interference, or dissemination of false information, constitutes a serious breach of this Agreement and may result in immediate account termination and referral to relevant authorities.

6. OFF-PLATFORM TRANSACTIONS PROHIBITED

6.1 All Task payments and transactions must be processed exclusively through the Platform’s Safe Payment System. Users must not make, request, or accept any payment outside the Platform in connection with any Task, whether in whole or in part.

6.2 Users must not solicit, encourage, or facilitate direct contact with another User for the purpose of conducting transactions outside the Platform, including via LINE, WhatsApp, WeChat, Facebook, or any other channel.

6.3 If a User receives a request to communicate or transact outside the Platform, they should report this to gigit as soon as reasonably practicable.

6.4 Violation of Clauses 6.1 or 6.2 constitutes a material breach of this Agreement and may result in immediate account suspension or termination, blacklisting, withholding of funds, and legal action. Failure to comply with Clause 6.3 may result in a warning or account review.

6.5 gigit is not responsible for any loss, damage, or dispute arising from any off-platform transaction.

7. PLATFORM FEES

7.1 gigit charges Platform Fees for the use of the Platform, including marketplace, payment processing, and support services. Platform Fees are displayed on the Platform and may be updated from time to time.

7.2 Platform Fees are displayed clearly to both Employers and gigit heroes before any Booking is confirmed. Net Earnings are displayed to gigit heroes prior to submitting an Offer.

7.3 Upon confirmation of a Booking, gigit’s matching and reservation services are deemed to have been fully rendered, and the applicable Platform Fees become due and non-refundable except where this Agreement provides otherwise or where required by applicable Thai consumer law.

7.4 All fees, payments, and amounts quoted on the Platform are in Thai Baht (THB) and exclude withholding tax or any other taxes that Users are legally obligated to pay under Thai law. Users are solely responsible for their own tax obligations.

7.5 gigit reserves the right to modify Platform Fees at any time. Changes will be notified to Users via in-app notification on the Platform and will take effect no earlier than 14 days after notification. Continued use of the Platform following the effective date of updated fees constitutes acceptance of the revised fees.

8. PROHIBITED SERVICES

8.1 Category A — Absolutely Prohibited

The following services may not be posted, offered, or performed through the Platform under any circumstances:

  • Medical, dental, therapeutic, or clinical services of any kind;
  • Legal advice, legal representation, or notarial services;
  • Gas fitting or gas installation;
  • Financial advisory, investment management, or securities-related services regulated by the Securities and Exchange Commission of Thailand;
  • Pharmaceutical, drug-related, or controlled substance services;
  • Adult, sexual, or escort services of any kind;
  • Gambling-related services;
  • Any service involving the employment of persons under 18 years of age;
  • Any service that is illegal under applicable Thai law or promotes, facilitates, or involves illegal activity.

8.2 Category B — Restricted Services

The following services may only be offered by gigit heroes who hold valid credentials, licences, or certifications as required by Thai law or applicable regulations:

  • Licensed electrical installation or wiring (valid Thai electrical contractor licence required);
  • Plumbing installation or pipe work (valid Thai plumbing contractor licence required, where applicable);
  • Structural engineering or load-bearing construction (valid Thai professional engineer licence required);
  • Driving, transport, or vehicle-related services (valid Thai driving licence required);
  • Childcare or elder care services (subject to enhanced background verification);
  • Licensed security services (valid licence under applicable Thai law required);
  • Any other service that requires a licence, certification, or permit under applicable Thai law.

8.3 gigit reserves the right to remove any Task or Offer that it reasonably believes falls within Prohibited Services, without prior notice and without liability to any User.

8.4 gigit heroes who offer or perform Prohibited Services in breach of this Clause 8 may have their accounts immediately suspended or terminated, funds withheld, and may be reported to relevant Thai authorities.

9. IDENTITY VERIFICATION & BADGES

9.1 gigit may require Users to complete identity verification processes from time to time, including Thai National ID verification, facial recognition, or other verification methods as determined by gigit.

9.2 Users must submit only genuine, valid documents belonging to them. Submission of false, altered, or fraudulent documents constitutes a serious breach of this Agreement and may be reported to relevant authorities.

9.3 gigit may make verification badges available on User profiles. Verification badges confirm a User’s identity at a point in time. They do not assess a User’s skills, work quality, or suitability for a specific Task — those considerations should be evaluated by reviewing profiles, ratings, reviews, and where relevant, asking for credentials directly.

9.4 gigit reserves the right to require re-verification at any time and to refuse, suspend, or terminate accounts that fail to meet verification requirements.

10. RATINGS, REVIEWS & PERFORMANCE

10.1 The Platform includes a feedback system enabling Employers and gigit heroes to rate and review each other following completed Tasks. Reviews must be factual, honest, and not defamatory or in violation of this Agreement.

10.2 Both parties may submit a review within 90 days of Task completion. Reviews must reflect genuine transactional experiences. Employers contribute to a gigit hero’s Reliability Rating; gigit heroes contribute to an Employer’s Completion Rating.

10.3 Users must not solicit, offer incentives for, or attempt to negotiate a positive review. Any such conduct constitutes a breach of this Agreement.

10.4 The following conduct is strictly prohibited and may result in immediate account termination: (a) creating false reviews; (b) inflating order or rating counts through self-engagement or fraudulent transactions; (c) posting reviews for Tasks not genuinely performed or received.

10.5 gigit reserves the right to remove, suspend, or modify any review that violates this Agreement. gigit may also take action against accounts that abuse the review system, in its sole discretion.

11. COMMUNICATION

11.1 All Task-related communication between Employers and gigit heroes must take place through the Platform’s messaging system.

11.2 Users must maintain professional and respectful communication at all times. Harassment, abuse, discrimination, or threatening language will not be tolerated and may result in immediate account suspension.

11.3 gigit does not proactively monitor or record communications between Users on the Platform. However, in the event that a dispute is raised by either party, or where gigit has reasonable grounds to investigate a suspected breach of this Agreement, fraudulent activity, or violation of applicable law, gigit may request that the relevant Users provide copies of their Platform communications as evidence. Users agree to cooperate with any such request and to provide relevant chat logs, transaction records, or other Platform communications promptly upon request. gigit may also access Platform communications to the extent required by a court order or lawful direction from a competent Thai authority.

11.4 Personal data shared in Platform communications is confidential between the relevant Users. Such data must not be disclosed to any third party without the consent of the data subject, except: (a) where required by applicable Thai law or a lawful direction from a competent authority; (b) where provided by a User to gigit in connection with a dispute investigation under Clause 11.3; or (c) as otherwise authorised under gigit’s Privacy Policy. Where a User provides chat logs or communications to gigit for the purpose of dispute resolution, that User represents and warrants that they are entitled to share such data and consents to gigit using it solely for the purpose of resolving the relevant dispute.

12. INTELLECTUAL PROPERTY

12.1 All intellectual property rights in and to the Platform, including its design, features, code, branding, and content created by gigit, are owned by or licensed to GIGIT Company Limited. Nothing in this Agreement grants Users any rights in gigit’s intellectual property.

12.2 You grant gigit a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and display non-personal content you post on the Platform for the purposes of operating, improving, and promoting the Platform. Where any content you post constitutes personal data as defined under the PDPA, gigit will only use such content in accordance with its Privacy Policy and applicable Thai law, and will not use such personal data for commercial marketing purposes without your separate and explicit consent. You warrant that you own or have all necessary rights to any content you post on the Platform, and that such content does not infringe the rights of any third party.

12.3 Ownership of work product created by a gigit hero for an Employer transfers to the Employer upon full payment of the Task Price, unless otherwise agreed in writing in the Offer. If a Task is cancelled before full payment, intellectual property rights in any partially completed work remain with the gigit hero unless expressly agreed otherwise.

12.4 gigit has no interest in, and accepts no responsibility for, the intellectual property of work products exchanged between Employers and gigit heroes.

12.5 Users must not post or use content that infringes the intellectual property rights of any third party. gigit reserves the right to remove infringing content without notice.

13. PERSONAL DATA & PDPA COMPLIANCE

13.1 gigit processes personal data in accordance with the PDPA and its Privacy Policy. The Privacy Policy is incorporated into this Agreement by reference and is available at https://gigit.asia/en/privacy-policy. By using the Platform, you agree to the data processing terms set out in the Privacy Policy.

13.2 gigit’s lawful bases for processing personal data under the PDPA are: (a) performance of contract; (b) legal obligation; (c) legitimate interests; and (d) consent (for marketing communications and where otherwise required). Full details are in the Privacy Policy.

13.3 Under the PDPA, you have the rights of access, rectification, erasure, restriction, portability, objection, withdrawal of consent (where processing is based on consent), and the right to lodge a complaint with the Personal Data Protection Committee of Thailand. To exercise any right, contact gigit’s Data Protection Officer at privacy@gigit.asia.

13.4 The Platform may contain links to or integrations with third-party services (including identity verification, payment processing, and mapping providers). gigit is not responsible for third-party services. By using a third-party service through the Platform, you acknowledge and agree that your use is governed by that party’s own terms of service and privacy policy.

PART 2 — EMPLOYER-SPECIFIC TERMS

14. POSTING TASKS

14.1 Employers may post Tasks on the Platform or select gigit heroes from available Offers. Task descriptions must be accurate, complete, and not misleading.

14.2 Employers must include all material information relevant to a Task, including: (a) a clear and accurate description of the work required; (b) the location and timing of the Task; (c) any specific requirements, skills, or qualifications the gigit hero must have; (d) any known hazards or risks associated with the Task.

14.3 Employers must not post Tasks that fall within the Prohibited Services set out in Clause 8.

14.4 gigit may remove or modify any Task posting that it reasonably believes violates this Agreement, without notice and without liability.

14.5 Where a Task involves the gigit hero providing direct care, supervision, instruction, or one-on-one interaction with a minor (under 18), elderly person, or other vulnerable individual as part of the work, the Employer must: (a) clearly disclose this in the Task description at the time of posting; (b) ensure that the gigit hero is made fully aware of this requirement before the Booking is confirmed; and (c) acknowledge that gigit does not conduct enhanced background checks for such Tasks and that the Employer bears full responsibility for independently verifying the suitability of any gigit hero engaged. gigit reserves the right, at its sole discretion, to require additional verification from gigit heroes before Tasks of this nature may be accepted, and to remove Task postings that do not comply with this Clause.

15. BOOKING & CONTRACT FORMATION

15.1 A legally binding Task Contract is formed between an Employer and a gigit hero when: (a) the Employer selects ‘Book Now’ in respect of a gigit hero’s Offer; and (b) payment of the Task Price is successfully reserved through the Safe Payment System.

15.2 The Task Contract incorporates the terms of this Agreement and the Model Task Contract set out in Appendix A.

15.3 Following Booking confirmation, the Employer and gigit hero may agree to vary the scope, timing, or price of the Task through the Platform. Any such variations must be agreed and processed through the Platform using the ‘Request Extra Payment’ feature. Off-platform variations are not recognised.

16. EMPLOYER OBLIGATIONS

16.1 As an Employer, you agree to:

  • Provide accurate and complete Task information as required by Clause 14;
  • Treat gigit heroes respectfully and professionally at all times;
  • Ensure that the Task environment is safe, suitable, and compliant with applicable occupational health and safety requirements;
  • Disclose all known risks, hazards, or special requirements to the gigit hero before the Task commences;
  • Make all payments through the Safe Payment System only;
  • Review completed work and release payment or raise a dispute within the timeframes specified in this Agreement and the Refund and Cancellation Policy;
  • Comply with all applicable laws, including any obligations as a hirer of services.

16.2 gigit does not provide insurance coverage of any kind in connection with Tasks performed through the Platform, including coverage for property damage, personal injury, theft, or any other loss arising during or in connection with a Task. Employers are solely responsible for ensuring that they hold adequate home, contents, public liability, or other insurance appropriate for the nature of any Task taking place at their property or involving their assets. gigit strongly recommends that Employers review their existing insurance policies before engaging a gigit hero, and obtain additional coverage where required.

16.3 Employers will be assigned a Completion Rating based on factors including prompt payment release, responsiveness, communication, and overall Booking conduct. Repeated poor performance may result in the consequences set out in Clause 31.

17. PAYMENT RELEASE & COMPLETION

17.1 Once a gigit hero marks a Task as completed through the Platform, the Employer will be notified and given an opportunity to review the completed work before releasing payment.

17.2 The Employer must review the completed Task and either: (a) select ‘Release Payment’ to confirm satisfactory completion; or (b) raise a dispute through the Platform within 7 days of the completion notification.

17.3 By selecting ‘Release Payment’, the Employer confirms that the Task has been completed to their satisfaction. This action is final and non-reversible.

17.4 If the Employer does not release payment or raise a dispute within 7 days of the completion notification, gigit will review the Booking and determine the appropriate release based on available evidence and the parties’ conduct.

17.5 Once payment has been released, the transaction is considered final and non-refundable, except where required by applicable Thai law.

PART 3 — GIGIT HERO-SPECIFIC TERMS

18. INDEPENDENT CONTRACTOR STATUS

18.1 By registering as a gigit hero, you acknowledge and agree that you are an independent contractor who uses the Platform to provide services directly to Employers. You are not an employee, agent, partner, or representative of gigit.

18.2 Nothing in this Agreement shall be construed to create an employment relationship, legal partnership, joint venture, or agency between you and gigit under the Labour Protection Act B.E. 2541 (1998) or any other applicable Thai law.

18.3 As an independent contractor, you are solely responsible for: (a) providing your own equipment, tools, and materials; (b) obtaining and maintaining any insurance you consider appropriate; (c) declaring and paying all applicable income tax, VAT, withholding tax, and any other taxes under Thai law in respect of amounts you receive through the Platform; and (d) complying with all regulatory requirements applicable to your services.

18.4 gigit does not guarantee any minimum level of Task opportunities, earnings, or income.

18.5 In connection with your independent contractor status, you acknowledge and agree that: (a) you have the freedom to set your own working hours and schedule without direction from gigit; (b) you are free to offer services on other platforms or through other channels simultaneously with your use of this Platform; (c) gigit does not direct or control the manner in which you perform services for Employers — only the Employer, as the contracting party under the Task Contract, may give directions regarding Task requirements; (d) you bear your own business risk and financial exposure in respect of each Task you accept; and (e) you are solely responsible for providing and maintaining your own tools, equipment, and materials necessary to perform your services.

18.6 You acknowledge that as an independent service provider you are not enrolled in any gigit employee social security scheme and are solely responsible for your own social security contributions as applicable under the Social Security Act B.E. 2533 and any other applicable Thai law. gigit does not make social security contributions on your behalf and has no obligation to do so.

19. MAKING OFFERS

19.1 When you submit an Offer using the ‘Make an Offer’ feature, you are providing a binding quotation for the Task based on the Task details posted by the Employer.

19.2 A legally binding Task Contract is formed between you and the Employer when: (a) the Employer selects ‘Book Now’; and (b) payment has been successfully reserved through the Safe Payment System.

19.3 Upon formation of a Task Contract, you agree to: (a) complete the Task as described in the Offer; (b) perform the Task with reasonable care, skill, and professionalism; and (c) deliver the services at the agreed Task Price within the agreed timeframe.

19.4 Any additional work or variation to the Task must be agreed with the Employer and processed through the Platform using the ‘Request Extra Payment’ feature before additional work commences.

20. SKILLS, QUALIFICATIONS & COMPETENCE

20.1 You must only submit Offers for, and perform, Tasks for which you have the necessary skills, experience, knowledge, and (where applicable) licences, certifications, or professional qualifications to complete safely and competently.

20.2 You represent and warrant that: (a) all information you provide regarding your skills, experience, or qualifications is accurate, current, and not misleading; (b) you are capable of delivering the services you offer to a reasonable professional standard; and (c) you hold all licences and permits required by applicable Thai law for the services you offer.

20.3 You must not accept or perform any Task that: (a) falls within the Prohibited Services listed in Clause 8; or (b) requires licences, certifications, or permits that you do not currently hold.

20.4 Failure to comply with this Clause 20 may result in immediate account suspension or termination, withholding of funds, and liability for any loss or damage caused.

21. PERFORMANCE & RELIABILITY

21.1 You are expected to fulfil all accepted Tasks reliably, professionally, and on time.

21.2 Your performance will be measured through a Reliability Rating and other performance metrics on the Platform, based on factors including: (a) Task completion rate; (b) cancellation history; (c) Employer feedback and ratings; and (d) responsiveness and communication.

21.3 Cancellations, late arrivals, or failure to complete Tasks without reasonable cause may result in: (a) negative impact to your Reliability Rating and account standing; (b) temporary account suspension; or (c) permanent account termination.

The full cancellation process — including how responsibility for a cancellation is determined, what fees may apply, and how account consequences are applied — is set out in the Refund and Cancellation Policy, which forms part of this Agreement.

21.4 Repeated cancellations or no-shows may result in immediate removal from the Platform.

22. PAYMENT TO GIGIT HEROES

22.1 Funds will be released for payout to your verified bank account when the Employer selects ‘Release Payment’ or following gigit’s determination under Clause 17.4.

22.2 You acknowledge and agree that: (a) payouts are processed by the Payment Service Provider and timing of receipt may vary; (b) gigit may delay or withhold release of funds during dispute investigations or compliance reviews; (c) gigit reserves the right to recover or offset amounts owed by you (including in cases of refunds, chargebacks, or fraud) against future payouts.

The full escrow mechanics — including when funds are held, the circumstances in which funds may be withheld or reversed, and how disputed payments are handled — are set out in the Refund and Cancellation Policy, which forms part of this Agreement.

22.3 You must provide accurate and current bank account information for payouts. gigit accepts no liability for failed or misdirected payments resulting from incorrect or out-of-date bank account information.

22.4 All amounts payable to you exclude withholding tax. You are solely responsible for your tax obligations. gigit does not withhold taxes on your behalf unless required by applicable Thai law.

22.5 gigit heroes are solely responsible for determining and meeting all tax obligations under Thai law arising from amounts received through the Platform, including income tax, value added tax (VAT) where applicable, and any obligation to issue tax invoices or receipts to Employers under the Thai Revenue Code B.E. 2481 and related regulations. gigit does not issue tax invoices on behalf of gigit heroes in respect of services performed through the Platform. Any receipt or confirmation issued by gigit relates only to Platform Fees charged by gigit and does not constitute a tax invoice for the underlying services performed by the gigit hero. If you are required to register for VAT under applicable Thai law, you are solely responsible for doing so and for complying with all associated filing and payment obligations.

23. GIGIT HERO PROHIBITED CONDUCT

In addition to the general prohibited conduct in Clause 5, gigit heroes must not:

  • Submit Offers for services they are not competent or qualified to perform;
  • Provide false or misleading information about their qualifications, experience, or services;
  • Allow any other person to use their account or complete Tasks under their identity;
  • Misrepresent Platform Fees to Employers;
  • Solicit Employers to engage them directly or through channels outside the Platform;
  • Abandon a Task after a Booking has been confirmed without lawful cause;
  • Negotiate, condition, or withhold delivery of work in exchange for a positive review;
  • Create fraudulent reviews, inflate rating counts, or engage in any other manipulation of the Platform’s review or ranking system.

PART 4 — PAYMENTS, SAFE PAYMENT SYSTEM & FEES

24. SAFE PAYMENT SYSTEM

24.1 All payments for Tasks must be made through the Platform’s Safe Payment System, operated by the Payment Service Provider, a licensed payment service provider in Thailand regulated by the Bank of Thailand.

24.2 Upon Booking confirmation, the Task Price will be held as a Reserved Payment by the Payment Service Provider on behalf of the Employer. gigit does not directly hold User funds.

24.3 The Employer authorises gigit (acting through the Payment Service Provider) to: (a) hold the Reserved Payment pending Task completion; (b) release funds to the gigit hero upon completion or automatic approval; and (c) return funds to the Employer in accordance with the cancellation and refund provisions of this Agreement and the Refund and Cancellation Policy.

24.4 By using the Safe Payment System, you agree to comply with the Payment Service Provider’s applicable terms and conditions, which are available on the Payment Service Provider’s website. In the event of any inconsistency between this Agreement and the Payment Service Provider’s terms in relation to payment processing, the Payment Service Provider’s terms prevail to the extent of that inconsistency.

24.5 gigit and the Payment Service Provider reserve the right to temporarily withhold release of funds where a transaction is flagged for potential fraud, a security concern, dispute, or compliance review.

24.6 If an Employer initiates a chargeback, payment reversal, or dispute through the Payment Service Provider, their bank, credit card provider, or any other third-party payment institution in connection with a Task payment: (a) the Employer must immediately notify gigit of the chargeback or reversal request; (b) the Employer agrees to cooperate fully with gigit’s and the Payment Service Provider’s investigation, including providing all relevant documentation and evidence; (c) gigit reserves the right to immediately suspend the Employer’s account pending investigation; (d) where a chargeback results in funds being recovered from a gigit hero who has already completed the Task to the required standard, gigit reserves the right to recover the equivalent amount from the Employer and to offset any amounts owed against future transactions; and (e) initiating a chargeback in bad faith or without reasonable grounds constitutes a material breach of this Agreement and may result in permanent account termination and legal action. gigit is not responsible for any chargeback fees or costs imposed by third-party payment providers.

25. CANCELLATIONS & REFUNDS

25.1 Cancellations and refunds are governed by gigit’s Refund and Cancellation Policy, which is published on the Website and incorporated into this Agreement by reference. In the event of any conflict between this Clause 25 and the Refund and Cancellation Policy, the Refund and Cancellation Policy shall prevail in relation to operational processes and refund amounts. This Clause 25 sets out the legal framework for attributing responsibility for cancellations and gigit’s authority to make refund determinations.

25.2 Cancellation attributable to the gigit hero

A cancellation is attributable to the gigit hero where:

  • The gigit hero cancels the Task Contract;
  • The Employer is unable to contact the gigit hero to perform the Task after reasonable attempts;
  • The gigit hero fails to attend or complete the Task without reasonable cause; or
  • The gigit hero’s account is suspended or terminated in circumstances relating to the Task.

25.3 Cancellation attributable to the Employer

A cancellation is attributable to the Employer where:

  • The Employer cancels the Task Contract (other than as a result of gigit hero non-performance);
  • The Task Contract is cancelled due to the Employer’s breach of this Agreement; or
  • A Task is automatically cancelled due to the Employer’s inaction.

25.4 Where a cancellation is attributable to the gigit hero, the cancellation may negatively impact the gigit hero’s Reliability Rating and account standing. Repeated cancellations or cancellations without reasonable cause may result in account suspension or termination in accordance with Clause 31.

25.5 Refunds are not guaranteed and are subject to review by gigit. gigit reserves the right to determine the appropriate refund amount based on the circumstances, including the progress of the Task, evidence provided, and any breach of this Agreement.

25.6 The following situations may result in no refund being available: (a) the gigit hero has completed the Task as described; (b) cancellation is caused by the Employer’s own conduct; (c) the Employer has engaged in fraudulent activity or a chargeback through a payment provider other than gigit; (d) there is reasonable cause to believe the cancellation is intended to cause harm or avoid contractual obligations.

25.7 Refunds will be returned via the original payment method where practicable. Processing times vary by payment channel.

The full cancellation process for each scenario — including Employer-initiated cancellations, Hero cancellations, partial task completion, scope mismatch, no-show provisions, mutual cancellation procedure, refund calculation, and processing timelines — is set out in the Refund and Cancellation Policy.

25.8 Nothing in this Clause 25 excludes, restricts, or modifies any right or remedy available to an Employer who is a consumer under the Consumer Protection Act B.E. 2522 or any other mandatory provision of applicable Thai law. Where applicable Thai law requires gigit to provide a refund or remedy that this Clause 25 would otherwise not provide, gigit will comply with that legal obligation.

26. INACTIVE BOOKINGS

26.1 A Booking that shows no activity for 30 consecutive days (meaning no communication between the parties and no status update on the Platform) may be cancelled by the Platform.

26.2 Upon cancellation under Clause 26.1, gigit will determine the appropriate handling of any Reserved Payment in accordance with the circumstances, taking into account any work already performed.

PART 5 — DISPUTE RESOLUTION

27. DISPUTE RESOLUTION

27.1 If a Task is incomplete or does not meet the agreed requirements, the Employer must raise a dispute with gigit within 7 days of the completion notification.

27.2 Both parties will be notified and may provide evidence to gigit. gigit’s support team will review the available evidence and determine the initial outcome, including releasing, partially releasing, or refunding the Reserved Payment. gigit will act reasonably in making this determination.

27.3 Both parties agree to cooperate fully with any investigation and to provide all relevant documentation, evidence, and information requested by gigit promptly.

27.4 If a dispute cannot be resolved through the process in Clauses 27.1–27.3, either party may bring the dispute before the competent Thai courts in Bangkok.

27.5 Nothing in this Agreement prevents an Employer who qualifies as a consumer under the Consumer Protection Act B.E. 2522 or other applicable Thai law from bringing a claim before a competent Thai court at any time.

The operational detail of the dispute resolution process — including how to raise a dispute, what evidence to submit, and how gigit reviews submissions — is set out in the Refund and Cancellation Policy.

Note: All disputes remain subject to Thai consumer protection law and any mandatory protections under applicable Thai legislation that cannot be excluded by contract.

PART 6 — LIABILITY, INDEMNITY & GENERAL PROVISIONS

28. LIMITATION OF LIABILITY

28.1 gigit acts solely as a platform facilitator and is not responsible for: (a) the quality, safety, legality, or outcome of any services performed or requested through the Platform; (b) the acts, omissions, conduct, or representations of any User; (c) any disputes between Users; or (d) any loss or damage arising from Task performance or non-performance.

28.2 To the maximum extent permitted by Thai law, gigit’s total aggregate liability to any User arising out of or in connection with this Agreement or the Platform shall be limited to the greater of: (a) the total Platform Fees paid by that User to gigit during the 12-month period immediately preceding the event giving rise to liability; or (b) THB 30,000.

28.3 gigit shall not be liable for any indirect, consequential, special, incidental, or punitive damages, or for any loss of profits, loss of business opportunity, loss of data, or loss of reputation, howsoever arising.

28.4 Nothing in this Agreement excludes or limits gigit’s liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by gigit’s negligence; or (c) any other liability that cannot be limited or excluded under applicable Thai law.

29. INDEMNITY

29.1 Each User agrees to indemnify, defend, and hold harmless gigit and its directors, officers, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) that User’s use of the Platform; (b) any Task performed or requested by that User; (c) any breach of this Agreement by that User; (d) any violation of applicable law or third-party rights by that User; or (e) any content posted by that User on the Platform.

29.2 In the event that a third-party claim results in gigit being joined as a party to legal proceedings, the User responsible for the underlying conduct agrees to bear all costs and expenses incurred by gigit in connection with such proceedings.

30. PLATFORM AVAILABILITY

30.1 gigit does not guarantee uninterrupted, error-free access to the Platform. The Platform may be modified, suspended, or discontinued at any time with or without notice.

30.2 gigit shall not be liable for any loss or inconvenience arising from Platform downtime, technical failures, maintenance, or modifications.

31. ACCOUNT SUSPENSION & TERMINATION

31.1 gigit may suspend or terminate a User’s account, temporarily or permanently, at any time: (a) for violation of this Agreement or any Policy; (b) for suspected fraudulent, deceptive, or illegal activity; (c) for repeated cancellations, no-shows, failure to release payment without reasonable cause, or other conduct demonstrating bad faith (in the case of any User); (d) for behaviour that harms or threatens to harm other Users or the Platform; or (e) at gigit’s sole discretion, where it considers it necessary to protect the Platform or its Users.

31.2 gigit may blacklist a User whose account has been terminated for cause, preventing re-registration.

31.3 Where an account is suspended or terminated, gigit may: (a) withhold payouts during any investigation; (b) cancel outstanding Bookings; and (c) permanently remove access to the Platform.

31.4 Where gigit suspends or terminates a User’s account, the affected User may submit a written appeal to gigit within 14 days of the decision, providing any relevant information or evidence they wish gigit to consider. gigit will review any such appeal and notify the User of its decision within 14 days. gigit may, in its discretion, lift a non-emergency suspension during the appeal review where the suspension relates to performance grounds rather than safety, fraud, or compliance grounds. gigit’s decision following the appeal process shall be final, subject to any rights available to the User under applicable Thai law.

31.5 Either party may terminate this Agreement at any time by closing their account, subject to the following: (a) account closure does not affect any active Task Contract, ongoing investigation, or rights or obligations that have already arisen — these continue until resolved; (b) gigit may delay finalising account closure where there is an active Booking, ongoing dispute, or open compliance investigation; (c) Reserved Payments held by the Payment Service Provider for active Bookings will be resolved through the normal payment or cancellation process before account closure is finalised.

32. AMENDMENTS TO THIS AGREEMENT

32.1 gigit may update or amend this Agreement from time to time. When material changes are made, gigit will notify Users through the Platform.

32.2 Continued use of the Platform after notification of any amendment constitutes acceptance of the amended terms. If you do not accept amended terms, you must stop using the Platform and close your account.

33. FORCE MAJEURE

33.1 gigit shall not be liable for any delay or failure to perform its obligations under this Agreement where such delay or failure is caused by circumstances beyond gigit’s reasonable control, including natural disasters, acts of government, civil unrest, pandemic, power failure, or telecommunications or network failure.

The treatment of Task cancellations arising from force majeure or extenuating circumstances — including how fees are handled and how refunds are assessed in such cases — is set out in the Refund and Cancellation Policy.

34. GOVERNING LAW & JURISDICTION

34.1 This Agreement is governed by and construed in accordance with the laws of the Kingdom of Thailand.

34.2 Subject to the dispute resolution process in Clause 27, any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Thai courts in Bangkok, subject to Clause 27.5 (consumer carve-out).

34.3 Nothing in this Agreement prevents either party from seeking urgent relief from the Thai courts.

35. GENERAL PROVISIONS

35.1 Entire Agreement: This Agreement, together with all Policies incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings.

35.2 Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitral tribunal of competent jurisdiction, the remaining provisions shall continue in full force and effect.

35.3 Assignment: gigit may assign or transfer this Agreement or any rights or obligations hereunder to any third party without your consent, including in the event of a merger, acquisition, or sale of assets. You may not assign your rights or obligations under this Agreement without gigit’s prior written consent.

35.4 No Waiver: Any failure or delay by gigit to exercise any right or remedy under this Agreement shall not constitute a waiver of that right or remedy.

35.6 Survival: The following clauses survive the termination or expiry of this Agreement for any reason and continue in full force and effect: Clause 6 (Off-Platform Transactions Prohibited), Clause 12 (Intellectual Property), Clause 13 (Personal Data & PDPA Compliance), Clause 27 (Dispute Resolution), Clause 28 (Limitation of Liability), Clause 29 (Indemnity), and any other provision that by its nature or express terms is intended to survive termination. Termination of this Agreement does not affect any rights or obligations that have already accrued prior to the date of termination.

APPENDIX A — MODEL TASK CONTRACT

MODEL TASK CONTRACT

This Model Task Contract sets out the standard terms governing the relationship between an Employer and a gigit hero in respect of each Task completed through the Platform. A Task Contract is formed in accordance with Clause 15 of this Agreement.

Note: These terms apply to each Task Contract unless the Employer and gigit hero expressly agree otherwise in the Offer and such agreement is processed through the Platform.

MTC 1. COMMENCEMENT & TERM

MTC 1.1 The Task Contract is created when the Employer accepts the gigit hero’s Offer and payment has been successfully reserved through the Safe Payment System.

MTC 1.2 The Task Contract continues until terminated in accordance with MTC Clause 7.

MTC 2. SERVICES

MTC 2.1 The gigit hero will perform the services described in the Offer in a proper, professional, and workmanlike manner.

MTC 2.2 The gigit hero must perform the services at the time and location agreed in the Offer.

MTC 2.3 The gigit hero is the primary contracting party and is fully responsible for the services. Where the gigit hero uses assistants or team members to perform the work, the gigit hero remains fully responsible for the conduct, quality, and acts or omissions of those assistants as if they were the gigit hero’s own. The gigit hero must not assign or transfer the Task Contract to another person without the Employer’s prior written consent.

MTC 2.4 Any variations to the services must be agreed between the parties through the Platform before additional work commences.

MTC 3. WARRANTIES

MTC 3.1 Each party warrants that all information provided in connection with this Task Contract is true, accurate, and not misleading.

MTC 3.2 The gigit hero warrants that: (a) they have the right to work and provide services in Thailand; (b) they hold all licences, certifications, and permits required by law for the services to be performed; and (c) they have the necessary skills, experience, and competence to complete the Task safely and to a professional standard.

MTC 4. PAYMENT

MTC 4.1 The Employer must pay the Task Price into the Safe Payment System upon Booking confirmation.

MTC 4.2 Upon completion of the services by the gigit hero, the Employer will be notified through the Platform.

MTC 4.3 The Employer must release payment or raise a dispute within 7 days of the completion notification, in accordance with Clause 17 of the main Agreement and the Refund and Cancellation Policy.

MTC 4.4 If no action is taken by the Employer within 7 days, gigit will review the Booking and determine the appropriate release in accordance with Clause 17.4 of the main Agreement.

MTC 4.5 Any additional payments for variations to the services must be requested and processed through the Platform’s ‘Request Extra Payment’ feature before any additional work commences. Off-platform variations are not recognised under this Task Contract.

MTC 5. LIMITATION OF LIABILITY BETWEEN PARTIES

MTC 5.1 The parties exclude all liability for indirect or consequential loss arising out of or in connection with the services or this Task Contract, to the maximum extent permitted by applicable Thai law.

MTC 5.2 Subject to applicable insurance and to any non-excludable conditions under Thai law:

  • The gigit hero’s liability to the Employer under this Task Contract is capped at the greater of (i) 10 times the Task Price or (ii) THB 50,000.
  • The Employer’s liability to the gigit hero under this Task Contract is capped at the Task Price.
  • For the avoidance of doubt, this clause applies only between the Employer and the gigit hero. It does not apply to, and does not limit or modify, gigit’s separate liability as Platform operator, which is governed exclusively by Clause 28 of the main Agreement.

MTC 6. DISPUTES BETWEEN EMPLOYER AND GIGIT HERO

MTC 6.1 If a dispute arises between the parties, they will first attempt to resolve it through direct negotiation via the Platform’s messaging system within 7 days.

MTC 6.2 If direct negotiation fails, either party may refer the dispute to gigit for Platform Resolution under Clause 27 of the main Agreement.

MTC 7. TERMINATION OF TASK CONTRACT

This Task Contract will terminate when:

  • The services are completed and the Task Price is released from the Safe Payment System;
  • The parties mutually agree in writing to terminate;
  • A party’s account is terminated or suspended from the Platform (at the election of the other party);
  • The dispute resolution process results in a determination that the Task Contract should be terminated; or
  • gigit notifies the parties in accordance with its rights under the main Agreement.

MTC 8. GOVERNING LAW

MTC 8.1 This Task Contract is governed by the laws of the Kingdom of Thailand.
